Terms that apply to use of EduSwap

1. Definitions

“Platform” means the EduSwap website, application, and services provided by EduSwap Pty Ltd.

“User” means any school, staff member, authorised representative, or entity accessing the Platform.

“Listing” means any item, description, or content posted on the Platform.

“Transaction” includes any swap, sale, donation, rental, lease, or transfer of an item between Users.

“Premium Services” refers to paid subscription features enabling access to full trade, rental, and leasing functionality.

2. Acceptance of terms

By accessing or using the Platform, the User agrees to be bound by these Terms.

If the User does not agree to these Terms, they must not access or use the Platform.

The User warrants that they have authority to act on behalf of their school or organisation.

3. Description of service

EduSwap provides a digital marketplace enabling schools to list, discover, sell, donate, swap, rent, or lease items.

EduSwap does not own, manufacture, store, or inspect items.

EduSwap does not guarantee the accuracy, safety, legality, or condition of items.

EduSwap is not a party to Transactions between Users.

Users engage in Transactions at their own risk.

4. User responsibilities

Provide accurate and complete registration information.

Ensure listings are truthful, lawful, and compliant with school and departmental policies.

Verify safety, compliance, and suitability of items before completing any transaction.

Communicate professionally and act in good faith.

Ensure they are authorised to list, dispose of, acquire, rent, or lease items on behalf of their school.

Comply with all applicable laws, regulations, and departmental procurement rules.

5. Prohibited items

Damaged, faulty, untested, or recalled electrical items.

Items failing safety or compliance standards.

Hazardous substances or dangerous goods.

Weapons or replica weapons.

Controlled substances or prohibited goods.

Items requiring licences or certifications unless fully disclosed and lawfully transferrable.

Items unrelated to legitimate school operations.

Items EduSwap deems unsuitable at its discretion.

6. Responsibility for listings

Users posting listings represent that they have the legal right and authority to dispose of the item.

They warrant the item is described accurately and honestly.

They warrant all defects, wear, and risks are clearly disclosed.

They warrant the item is safe for intended use, compliant with relevant standards, and fit for purpose.

They warrant the item can be lawfully transferred.

7. Responsibility for acquiring items

Users acquiring items are responsible for inspecting and assessing item safety, suitability, and compliance.

Buyers rely on their own judgment and due diligence.

Buyers assume risks associated with the use, installation, transport, or performance of acquired items.

8. Transactions

All Transactions occur directly between Users.

EduSwap does not guarantee that any Transaction will occur.

EduSwap is not responsible for delivery, transport, installation, or return of any item.

EduSwap is not liable for agreements, payments, damage, loss, or disputes between Users.

Users must ensure all Transactions comply with internal procurement, disposal, and risk-management policies.

9. Conduct on the platform

Users must not post misleading, fraudulent, offensive, or unlawful content.

Users must not harass, intimidate, or misuse communications with other Users.

Users must not circumvent fees or subscription structures.

Users must not create false, duplicate, or unauthorised accounts.

Users must not attempt to access, harm, or disrupt the Platform.

10. EduSwap’s rights

EduSwap may remove, edit, or refuse listings.

EduSwap may suspend or terminate User accounts.

EduSwap may restrict access to certain features.

EduSwap may modify subscription fees, service offerings, or functionality.

EduSwap may update these Terms.

EduSwap may remove listings or accounts immediately where safety, legality, or reputational concerns arise.

11. Limitation of liability

To the fullest extent permitted by law, EduSwap is not liable for loss, damage, injury, cost, or claim arising from use or misuse of any item, inaccurate listings, failed Transactions, Platform interruptions, or User conduct.

The Platform is provided as-is without warranties regarding accuracy, reliability, or fitness for purpose.

Schools use the Platform at their own risk and must rely on internal policies, judgment, and due diligence.

12. Indemnity

Users agree to indemnify and hold harmless EduSwap, its employees, contractors, and directors from claims, damages, liabilities, losses, and costs arising from their use of the Platform, listings, Transactions, breaches, or violations of law or policy.

13. Fees and payment

Premium subscriptions are billed annually.

Transaction fees apply to sales, rentals, and leases as published.

All fees are non-refundable except as required by law.

EduSwap may suspend or restrict access for non-payment.

14. Termination

EduSwap may suspend or terminate access without notice for breaches, unlawful behaviour, safety concerns, non-payment, or misuse.

Upon termination, all rights to use the Platform cease immediately.

15. Governing law

These Terms are governed by the laws of Victoria, Australia, and applicable Australian federal laws.

Users outside Australia agree these Terms still apply and disputes will be handled under Victorian jurisdiction.
